Client Company (“Client”) and Company Representative ("Representative"), jointly and severally agree that upon failure to pay sums as due under the agreement/invoice/account, Client and Representative will be liable for late fees of 1.5% per month, plus any attorney’s fees and other costs expended to recover payment. Swift Delivery and Logistics will invoice bi-weekly. Payment for such invoices will be due 30 days from date of invoice. If payment is not received within 35 days, the late fees noted above will apply.
Swift Delivery and Logistics, Inc., Client and Representative each agree that this agreement shall be interpreted in accordance with the laws of the State of Maryland. If a court should find that any provision of this Agreement is invalid or unenforceable as stated, the parties agree that if by limiting such provision in any manner, such as by amount or degree, the provision would become valid or enforceable, such provision shall be deemed to have been written, construed, and enforced to the limits of legal validity or enforceability.
Any and all controversies, claims or lawsuits arising from or relating to this agreement and the performance thereof shall be adjudicated in the Courts of Prince George’s County, Maryland. Such forum is deemed and agreed to by the parties to be a convenient forum, and as such, objections to jurisdiction in such courts, and jurisdiction in any other forum are waived. |
